OFFER FOR AUTHORS

This is a public offer (the “Public Offer”) from DC Digital, a company incorporated and registered in Cyprus under the registration number HE 458938, operating platform polee.me (the “Polee.me”), Polee.me provides a marketplace for offers, connecting Authors and third parties to promote offers globally (the “Service”).

By accepting this public offer, the Author authorizes Polee.me to place offers that meet the platform’s requirements on the Polee.me offer marketplace. In doing so, the Polee.me contracts third parties to promote the Author's offers.

By using the Service, the Author agrees to the terms of this offer, which constitutes a binding agreement. Polee.me reserves the right to amend these terms via email or website notification, and continued use of the Service implies acceptance of any updated terms. Please note that Terms of use of Polle.me website shall be applicable to this Offer.

RECITALS:

1.1. Author – means an individual registered on the Polee.me platform who uploads and publishes offers for promotion by third parties via the Service.

1.2. Offer – means a specific set of terms, promotional goals, and revenue-sharing structures defined by the Author for Third Parties to promote via the Polee.me platform.

1.3. Third Party – means individuals or entities, such as Pre-buyers or Buyers, engaged through the Polee.me platform to promote the Author's Offer.

1.4. Service – means the marketplace and associated tools provided by Polee.me to connect Authors with Third Parties to promote Offers globally.

1.5. Polee.me System – means the hardware and software infrastructure provided by Polee.me for uploading, publishing, and managing Offers, including tracking performance and facilitating payments.

1.6. Profile – means the Author's personal account on the Polee.me platform, where Offers are created, managed, and monitored.

1.7. Reward – means the compensation defined by the Author for Third Parties based on the terms of the Offer, including a percentage of revenue or fixed payments.

1.9. Active Offer – means an Offer currently published and available for promotion on the Polee.me marketplace.

1.10. Terminated Offer – means an Offer that has been closed either automatically or manually by the Author.

If terms are used in this Public Offer that are not defined in this Article 1 and/or in the text of the Public Offer, the definition of such terms shall be based on the meaning of the text of the Public Offer. If an unambiguous interpretation does not exist, the interpretation should be governed by the terms interpreted with the following priorities: first, current applicable laws and international law, and second, current practice of using the terms on the Internet.

2.1. The Author prepares and uploads offers to the Polee.me platform. Offers must meet the platform’s requirements as specified below to be eligible for publication. Once approved, Polee.me places the offers on the marketplace, making them accessible to third parties for promotion.

2.2. To create an offer, the Author must comply with the following conditions:

(1) Upload an avatar;

(2) Upload a background image,

(3) Complete the bio section,

(4) Publish at least 10 posts on the platform.

2.3. The Author defines the following properties for each offer:

(1) Reward for Third Parties: may be a percentage of the Author’s revenue or a fixed amount.

(2) Content for Promotion: The Author may provide promotional materials or allow third parties to use content from their profile.

(3) Consent for using Author's face in creative materials

(4) List of prohibited geographic locations

(5) Offer Name

(6) Comments

2.4. Polee.me facilitates the promotion of the Author’s offers by third parties. The Author provides instructions and may set restrictions on how third parties promote the offer. The Author defines the reward structure for Third Parties.

2.5. The Author may have only one active offer at a time. Once closed, a new offer can be created. Polee.me strictly prohibits the creation, registration, or holding of multiple accounts by the Author. Exceptions are not allowed, regardless of any marketing promotional program or project, and Polee.me will not consider or approve any requests to allow multi-account registrations.

2.6. The Author is prohibited from transferring their account to any other individual or entity under any circumstances. Likewise, the Author may not use another individual’s or entity’s account or password at any time. Polee.me is not responsible for any loss or damage resulting from a violation of this clause.

2.7. By uploading offers, the Author agrees to the terms outlined in the Offer for Authors. Any amendments to these terms communicated via email or website notification are binding upon continued use of the Service. Offers must comply with moderation and may be terminated by Polee.me if they violate platform policies or the Author fails to meet obligations. In such cases, the Author will be notified, and restrictions, including prohibiting further offer creation, may be applied.

2.8. Polee.me does not guarantee:

(1) the placement, positioning, or timing of delivery of any Offer; or

(2) the number of impressions, clicks, subscriptions, or any other results generated from an Offer promotion within Polee.me System.

3.1. The Author shall provide all required promotional content (if applicable) for Offers in accordance with the guidelines and deadlines set out by Polee.me or as otherwise communicated by Polee.me.

3.2. The positioning of Offers on the Polee.me platform and its information space is determined solely by Polee.me at its discretion, unless explicitly agreed otherwise in writing.

3.3. The Author is solely responsible for:

(1) ensuring that the Offer complies with the platform's guidelines and requirements;

(2) providing accurate and complete content for the Offer;

(3) the properties and content to which the Offer directs users, including but not limited to any landing pages, subscription links, or additional resources referenced in the Offer; and

(4) the quality and accuracy of any associated services or benefits promised in the Offer.

4.1. All tracking and billing data are maintained exclusively by Polee.me. Payments for services rendered are calculated based on the statistics provided by Polee.me’s system. The Author agrees to pay for the services rendered based on Polee.me’s statistics, which are final and binding.

4.2. Polee.me supports multiple payment methods, and the Author may choose any available option. Polee.me is not responsible for any transaction fees, banking commissions, or currency exchange fees incurred by the Author.

5.1. Polee.me provides no warranties, express or implied, regarding the Service beyond what is explicitly stated in this Public Offer. To the extent permitted by law, Polee.me expressly disclaims any implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted service, complete security, or freedom from software errors.

5.2. Polee.me disclaims all responsibility for:

(1) any claims arising from the Offers, their content, or promotional campaigns managed by the Author; and

(2) any claims arising from the publication or promotion of Offers on third-party websites, including but not limited to streaming sites, file-sharing platforms, and websites containing adult content.

6.1. In the event of a violation of the terms of this Public Offer, other Polee.me’s policies or applicable law by the Author, Polee.me reserves the right to stop providing services, withhold any account balance or pending remuneration, impose fines, and terminate access to the Service without prior notice.

6.2. Each party waives its rights against the other in respect of warranties and representations (whether written or oral) not expressly set out in this Public Offer. Nothing in this clause limits or excludes either party’s liability for fraud.

6.3. The Author represents and warrants that they have all necessary rights, permits, and licenses to create, manage, and promote Offers in the jurisdictions they select. If this obligation is breached, Polee.me may terminate the Author’s access to the Service, withhold funds or account balances, and claim compensation for any losses or damages incurred.

6.4. The Author agrees not to use the Polee.me system interface in any manner not authorized by this Public Offer. The Author shall not distribute or transfer access to the system to any third party.

6.5. The Author agrees not to publish Offers that violate applicable laws, ethical standards, or morality. The Author will bear all expenses and losses incurred due to the illegal use of copyrighted materials, including but not limited to trademarks, images, and other promotional content.

6.6. The Author warrants not to use automated tools, such as bots, scripts, or spiders, to manipulate the Service, generate unauthorized requests, generate content, or extract data from the Polee.me system.

6.7. The Author warrants not to use the Polee.me system interface for purposes that violate any applicable laws or infringe on the rights of third parties, including intellectual property rights.

6.8. The Author agrees not to modify, adapt, translate, disassemble, or reverse-engineer the source code of any software used in the Polee.me system or related services.

The Author expressly prohibited from using any means, devices or arrangements to commit fraud, violate any applicable law, interfere with other affiliates or falsify information in connection with the Services or exceed the Author’s permitted access to the Website or Polee.me System.

Polee.me shall have the right, in any event described under this clause, to ban Author’s Account, to withhold account balance and to take all necessary legal actions to restore the damage caused by this violation. In any case the Polee.me shall make all determinations about fraudulent activity in its sole discretion.

The Author agrees to indemnify and hold Polee.me, its affiliates, subsidiaries, successors and assigns harmless from any and all claims, actions, judgments or liabilities arising out of or in connection with the Author´s Offers and/or content, any breach of this Public Offer by the Author and/or of any representation, warranty or agreement in this Public Offer.

Polee.me has, in its sole discretion and without any liability, the right to deny any advertising material or content that includes or based on any inappropriate or illegal content, prohibited by Polee.me, its policies, and/or its technical moderation rules.

The Author will defend, indemnify and hold Polee.me or its affiliates and representatives harmless from any damages, liabilities, costs, and expenses (incl. attorneys’ fees) resulting from any claim, judgment or proceeding brought by any third party.

Hereby, Polee.me grants the Author a non-exclusive, non-transferable, revocable right to use the Polee.me Service and access the Polee.me System solely in accordance with the terms of this Public Offer. The Author may not alter, modify, manipulate, or create derivative works of any content, graphics, copy, or other materials owned by or licensed to Polee.me. Polee.me reserves the right to revoke the Author’s license at any time by providing written notice. Except as expressly stated in this Public Offer, nothing herein grants the Author any rights to Polee.me’s trademarks, service marks, copyrights, patents, or trade secrets.

The Author agrees that Polee.me may use any suggestions, comments, content, or recommendations provided by the Author without compensation.

All rights not expressly granted in this Public Offer are reserved by Polee.me.

This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of the Republic of Cyprus.

IN NO EVENT SHALL POLEE.ME BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE AUTHOR’S USE OF THE SITE, OPERATION OF A PROGRAM, OR THE AUTHOR’S DISPLAY OF ANY PROGRAM CREATIVE ON THE AUTHOR’S MEDIA, INCLUDING BUT NOT LIMITED TO BROKEN IMAGES, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE INFORMATION, CONTENT AND SERVICES AT THE POLEE.ME SYSTEM OR IN SERVICE ARE PROVIDED ON AN “AS IS” BASIS WITH NO WARRANTY. THE AUTHOR USES THE SERVICE AND RUNS POLEE.ME SYSTEM AT OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLEE.ME DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE OPERATION OF POLEE.ME SYSTEM, THE INFORMATION, SERVICES, AND CONTENT INCLUDED AT THE COMPANY SYSTEM OR IN SERVICE AND PROVIDED BY POLEE.ME, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ON ITS WEBSITE OR PROVIDED BY COMPANY IS ACCURATE, COMPLETE OR CURRENT.

The agreement entered into by the parties based on the Public Offer remains in effect as long as the Author's Offer is active. Once the Offer is closed by the Author, or is terminated by Polee.me, this agreement automatically ends. The agreement is governed by the version of the Public Offer that was in effect at the time the Author's Offer was initiated.

The force majeure events are understood as events which occur after the Effective Date, regardless of the will of the Parties, and which could not be foreseen and prevented by any reasonable actions of the Parties. The influence of these events may postpone the performance of all or several parts of the present Agreement or other terms and conditions agreed by the Parties. The circumstances of force majeure include such events as war, mobilization, epidemic, pandemic, fire, natural disasters, traffic accidents and changes in legislation, if such events meet the criteria of this clause. The list above is not exhaustive.

The relationship between the Parties will be that of independent contractors and nothing in this Agreement is intended to nor will establish any relationship of partnership, joint venture, employment, franchise, agency or other form of legal association between the Parties. Neither Party will have, nor represent to any third party that it does have, any power or authority to bind the other Party or incur any obligations on the other Party’s behalf.
